Terms of Service

1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and AlexDev ("Company", "we", "us", or "our"), registered in Croatia, concerning your access to and use of the Sply24 website and platform.

2. Platform Description and User Roles

Sply24 is a software-as-a-service (SaaS) platform that enables users to create online B2B catalogs, manage products, and place orders. Users on our platform are categorized into two primary roles:

• Sellers: Users who purchase a subscription to create a company storefront, upload products, manage pricing, and receive orders.
• Buyers: Users who access Seller storefronts to view products and place orders. The platform is entirely free for Buyers.

A single authorized user account can act as both a Seller (managing their own company storefront) and a Buyer (accessing other Sellers' storefronts). Access and permissions are separated by subdomains.

3. Subscriptions, Trials, and Non-Payment

Fees and Refunds: Operating as a Seller requires a paid subscription. All subscription fees are strictly non-refundable.

Trial Periods: Certain subscription tiers may offer a free trial period. The trial period is strictly limited to one use per user.

Account Suspension and Deletion: If a Seller fails to pay the subscription fee upon expiration, or if the trial period ends without a subsequent payment, the following restrictions apply immediately:

• Checkout and order processing capabilities for that company are blocked.
• Product management, inventory synchronization, and external accounting integrations are disabled.
• The storefront website remains online and accessible for Buyers in a view-only mode.

If the account remains unpaid for thirty (30) days following the expiration date, the company data will be permanently deleted from the platform, and the storefront website will become completely inaccessible.

4. Transactions Between Buyers and Sellers

Sply24 provides only the software infrastructure for order creation and catalog management. We do not participate in, intermediate, or process any financial transactions or the transfer of goods between Buyers and Sellers.

Seller Liability: When a Buyer places an order, the payment is directed to the Seller's accounts. The Seller bears full and sole responsibility for all payment instruments, payment processing, tax collection, the accuracy of billing details, and order fulfillment. Sply24 holds no liability for disputes, chargebacks, refunds, or fulfillment issues arising between Buyers and Sellers.

5. User Content and Ownership

By uploading content (including but not limited to company logos, product images, descriptions, and pricing data) to Sply24, you retain all ownership rights to your content. AlexDev (Sply24) does not claim any copyright or ownership over your content, nor do we represent ourselves as the owners of any products or goods listed by you on the platform.

However, you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and distribute this content. This license is granted solely for the purpose of:

• Operating and providing the Sply24 platform features to you and your Buyers.
• Facilitating communication and interaction between Sellers and Buyers.
• Enabling automated platform systems, such as the generation of PDF documents (e.g., invoices and orders) and the delivery of notification emails within the scope of user interactions.

6. Acceptable Use and Content Restrictions

There are no specific B2B-only restrictions on who can purchase a subscription. However, you agree not to use the platform for any illegal activities, the sale of prohibited goods, or in a manner that violates the laws of your operating jurisdiction or the jurisdiction of Croatia.

The platform strictly prohibits the publication, hosting, or distribution of:

• Pornographic or sexually explicit materials.
• Weapons, firearms or explosives.
• Narcotics, illegal drugs, or controlled substances.
• Any materials or links to web resources that are prohibited under the laws of the European Union, the United States of America, the United Kingdom, or the country of the Seller's registration.
• Links to web resources or entities subject to sanctions imposed by the United States or the European Union.
• Content that infringes upon the intellectual property or copyrights of third parties.

Seller Responsibility: The Seller bears full and sole responsibility for the legitimacy, legality, and compliance of all content placed on the platform. AlexDev reserves the right to immediately remove any non-compliant content or terminate the access of any user found to be in violation of these restrictions.

7. Governing Law

These Terms shall be governed by and defined following the laws of Croatia. AlexDev and yourself irrevocably consent that the courts of Croatia shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
